1. Agreement to Terms

By creating an account and using CiteSpark ("Service", "Platform", "we", "our", "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

By clicking "I Accept" during account creation, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

2.1 Age Requirements

You must be at least:
- 13 years old (in most jurisdictions)
- 16 years old (if you reside in the European Union)
- The age of majority in your jurisdiction

to create an account and use our Service.

2.2 Authority

By accepting these Terms, you represent and warrant that:
- You have the legal capacity to enter into this agreement
- You are not prohibited by law from using the Service
- All information you provide is accurate and truthful

3. Account Creation and Security

3.1 Account Registration

To use the Service, you must create an account using one of the following methods:
- Google OAuth authentication
- Magic link email authentication

You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Accept our Privacy Policy and Cookie Policy
- Keep your account credentials secure and confidential

3.2 Account Responsibility

You are responsible for:
- All activities that occur under your account
- Maintaining the confidentiality of your account
- Notifying us immediately of any unauthorized access
- Any consequences resulting from unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- You abuse or misuse the Service
- Your account has been inactive for an extended period
- Required by law

You may delete your account at any time by contacting us.

4. Use of the Service

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Create and publish content on the Platform
- Use the Service's features and functionality
- Access and view content on public pages

4.2 Restrictions

You agree NOT to:

Prohibited Content:
- Post illegal, harmful, threatening, abusive, or defamatory content
- Publish content that infringes intellectual property rights
- Share malware, viruses, or malicious code
- Post spam, unsolicited promotions, or advertising (without permission)
- Publish content that violates privacy rights of others

Prohibited Activities:
- Attempt to gain unauthorized access to the Service or other accounts
- Reverse engineer, decompile, or disassemble the Service
- Use automated systems (bots, scrapers) without permission
- Interfere with or disrupt the Service or servers
- Collect user data without consent
- Impersonate others or misrepresent your affiliation
- Use the Service for any illegal purpose

Intellectual Property:
- Remove or alter copyright notices or attributions
- Use our trademarks without written permission
- Copy, modify, or create derivative works without authorization

4.3 Beta Features

The Service may include beta features marked as "beta", "preview", or "experimental". These features:
- Are provided "as is" without warranties
- May contain bugs or errors
- May be changed or discontinued without notice
- Should not be relied upon for production use

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you create and publish ("Your Content"). By publishing content on the Service, you grant us:

  • A worldwide, non-exclusive, royalty-free license to:
  • Store, display, and distribute Your Content
  • Make backups and technical copies
  • Allow others to view public pages
  • Index Your Content for search functionality

This license ends when you delete Your Content (subject to backup retention periods).

5.2 User Responsibility for Content

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR ALL CONTENT YOU CREATE, PUBLISH, OR SHARE ON THE SERVICE.

You acknowledge and agree that:

  • You are the publisher: You are legally responsible for all content you create, post, or make public
  • Legal compliance: You must ensure your content complies with all applicable laws and regulations
  • Third-party rights: You must not infringe on copyright, trademark, privacy, or other rights of third parties
  • Accuracy: You are responsible for the accuracy, quality, and legality of your content
  • Consequences: You bear all legal and financial consequences arising from your content

CiteSpark acts solely as a platform provider and does not:
- Endorse or verify user content
- Assume responsibility for user-generated content
- Guarantee accuracy or legality of user content
- Act as a publisher or editor of user content

5.3 Content Moderation

We implement automated and manual content moderation to maintain platform integrity and legal compliance.

You acknowledge and agree that:

  • Moderation rights: We reserve the right to review, moderate, flag, or remove any content at our sole discretion
  • Automated systems: We use AI and automated systems to detect prohibited content
  • No prior notice: Content may be removed without prior warning or notice to you
  • No appeal guarantee: Content removal decisions are final and may not be subject to appeal
  • Account consequences: Repeated violations may result in account suspension or termination
  • No liability: We are not liable for any consequences resulting from content moderation or removal

Content subject to moderation includes but is not limited to:
- Illegal content or activities
- Hate speech, harassment, or threats
- Adult content or sexual material
- Violence or graphic content
- Copyright or trademark infringement
- Spam, scams, or malicious content
- Misinformation or harmful content
- Content violating third-party rights

Moderation does not constitute:
- Endorsement of unmoderated content
- Liability for user content
- Obligation to monitor all content
- Guarantee of platform safety

5.4 Public Content

Content you publish as "public" is:
- Accessible to anyone on the internet
- Indexed by search engines (Google, Bing, etc.)
- Accessible to AI systems and crawlers
- Shareable via direct links

By making content public, you:
- Accept full responsibility for its distribution
- Acknowledge it may be cached or archived by third parties
- Cannot guarantee complete removal from the internet
- Remain responsible even after deletion from our platform

You are solely responsible for content you make public.

5.5 Our Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are owned by CiteSpark and are protected by:
- International copyright laws
- Trademark laws
- Patent laws
- Trade secret laws
- Other intellectual property rights

Our trademarks, logos, and service marks are the property of CiteSpark. You may not use them without our prior written consent.

5.6 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Service without attribution or compensation.

6. Privacy and Data Protection

6.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to:
- Collection and use of information as described in our Privacy Policy
- Processing of your data in accordance with GDPR and CCPA
- Storage of data on Google Cloud Platform infrastructure

6.2 Data Rights

You have the right to:
- Access your personal data
- Correct inaccurate information
- Request deletion of your account and data
- Export your data in a portable format
- Object to processing of your data

7. Payment and Subscription (Future)

Currently, the Service is provided free of charge. If we introduce paid features in the future:
- We will provide advance notice
- You will not be automatically charged
- Clear pricing and subscription terms will be provided
- Billing terms will be added to these Terms

8. Service Availability and Modifications

8.1 Service Availability

We strive to provide reliable service, but we do not guarantee:
- Uninterrupted or error-free operation
- Freedom from viruses or harmful components
- Availability at all times
- Accuracy or reliability of content

We may perform maintenance that temporarily affects service availability.

8.2 Modifications to Service

We reserve the right to:
- Modify or discontinue any feature or the entire Service
- Change these Terms at any time
- Adjust pricing (if applicable) with notice
- Add or remove functionality

We will provide reasonable notice of material changes. Continued use after changes constitutes acceptance.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Title
  • Accuracy or completeness of content

We do not warrant that:
- The Service will meet your requirements
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors will be corrected

Some jurisdictions do not allow exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITESPARK SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption
  • Personal injury or property damage
  • Any damages arising from:
  • Your use or inability to use the Service
  • Unauthorized access to your account or data
  • Errors or omissions in content
  • Third-party conduct or content

Our total liability shall not exceed the greater of:
- $100 USD, or
- The amount you paid us in the past 12 months (if applicable)

Some jurisdictions do not allow limitation of liability for personal injury or incidental/consequential damages, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless CiteSpark, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or conduct on the Service
  • Your breach of applicable laws or regulations

12. Third-Party Services and Links

12.1 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for:
- Content, privacy policies, or practices of third parties
- Accuracy or availability of external resources
- Any damages or losses caused by third-party services

12.2 Google Services

We use Google OAuth and Firebase services. Your use of these services is subject to Google's terms and policies. On public pages, we may use Google Analytics 4 (GA4) for aggregate usage analytics with advertising features disabled; GA4 respects the browser Do Not Track (DNT) setting.

13. DMCA and Copyright Infringement

13.1 Copyright Policy

We respect intellectual property rights. If you believe your copyrighted work has been infringed, please provide:

  • Your contact information
  • Description of the copyrighted work
  • URL or location of infringing material
  • Statement of good faith belief
  • Statement of accuracy under penalty of perjury
  • Your physical or electronic signature

If you believe content was removed in error, you may file a counter-notification with the required information under the DMCA.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Acts of God
- Natural disasters
- War or terrorism
- Government actions
- Internet or telecommunications failures
- Pandemics or health emergencies

15.6 Survival

Provisions that by their nature should survive termination shall survive, including:
- Intellectual property provisions
- Disclaimers of warranties
- Limitations of liability
- Indemnification obligations
- Dispute resolution provisions
